Terms & Conditions of Sale
These Terms & Conditions govern the supply of products and related services by Found East Studio (“Found East Studio”, “we”, “us”, “our”) to its clients (“Client”, “you”, “your”).
Found East Studio is a London-based supplier of lighting and furniture, working with a selected network of specialist manufacturing partners, primarily in China.
Unless otherwise agreed in writing, these Terms apply to all quotations, orders and projects undertaken by Found East Studio.

Introduction
These Terms & Conditions apply to all design-led services, recommendations, procurement activities, and product supply undertaken by Found East Studio ("the Studio"). Our goal is to provide a clear framework for our professional relationship, ensuring transparency in how we support your lighting and design projects.

Our Services
Found East sources, specifies, coordinates and supplies lighting, furniture and related products from selected third-party manufacturers.
Unless expressly stated otherwise, Found East Studio is not the manufacturer of the products supplied.
Our role may include product selection, specification support, samples, finishes, project-specific adaptations, coordination with manufacturers, production follow-up, quality-control arrangements, logistics and delivery.
We act as the Client’s principal point of contact throughout the order.

Quotations & Recommendations
All quotations are prepared specifically for the relevant project and are valid for the period stated on the quotation.
Prices may be subject to change after the validity period due to changes in manufacturing costs, raw materials, exchange rates, freight, duties, taxes or other costs outside Found East Studio's reasonable control.
Unless specifically stated otherwise, quotations do not include installation, electrical works, site preparation or any other services not expressly listed.
Any revision to quantities, specification, finishes, dimensions or delivery requirements may require the quotation to be revised.

Specifications and Client approval
The Client is responsible for reviewing and approving all relevant specifications before an order is confirmed.
This may include:
-
dimensions;
-
finishes and materials;
-
quantities;
-
electrical specifications;
-
colour temperature;
-
beam angle;
-
control or dimming requirements;
-
mounting details;
-
site conditions; and
-
any project-specific requirements.
Found East Studio will provide reasonable specification support, but responsibility for confirming that a product is suitable for the intended application rests with the Client and, where applicable, their architect, interior designer, lighting designer, contractor, electrician or other professional adviser.
Production will proceed based on the latest specification approved in writing.

Samples and finishes
Samples are supplied to assist with design and specification decisions.
Natural materials, handmade finishes, timber, stone, marble, leather, fabric, glass, ceramics, metal patinas and similar materials may naturally vary in colour, texture, grain, veining, tone or appearance.
Samples should therefore be regarded as representative rather than an absolute guarantee of uniformity.
Minor variations between samples, production batches and finished products are not considered defects where they are inherent to the material or manufacturing process.

Project-specific and bespoke products
Many Found East Studio products are made to order, modified or produced specifically for an individual project.
Where appropriate, our manufacturers may adapt dimensions, finishes, materials or detailing to suit the requirements of the project.
The Client is responsible for approving all drawings, specifications and finishes before production begins.
Once production has commenced, changes may not be possible. Where changes can be accommodated, additional costs and revised lead times may apply.

Order confirmation and 48-hour amendment period
An order becomes confirmed once:
-
the Client accepts the quotation or order confirmation in writing; and
-
the required deposit or payment has been received.
Found East Studio offers a 48-hour amendment period from confirmation of the order, during which the Client may request changes or cancellation.
Requests must be made in writing.
After 48 hours, manufacturing or procurement may have commenced and the order will normally become non-cancellable and non-refundable.
If a manufacturer has already committed materials, labour or other costs within the 48-hour period, any unrecoverable costs may be deducted from any refund.

Payment
Payment terms will be stated on the relevant quotation or invoice.
Unless expressly stated otherwise in writing, all orders and projects require payment in full in cleared funds before Found East Studio places the order with the manufacturer or authorises production to commence.
Production will not begin until full cleared payment has been received.
Any alternative payment arrangement, including deposits, staged payments or credit terms, will apply only where expressly agreed by Found East Studio in writing and stated on the relevant quotation or invoice.
Found East Studio reserves the right to withhold or suspend production, ordering, dispatch or delivery where any payment due has not been received in full by the required date.
Any bank charges, transfer fees, currency conversion costs or similar payment costs are the responsibility of the Client unless otherwise stated in writing.

Lead times
Any production or delivery dates provided by Found East Studio are estimates, unless expressly agreed otherwise in writing.
Lead times generally begin once:
-
the required payment has been received;
-
all specifications have been approved; and
-
any necessary drawings or samples have been signed off.
Found East Studio will make reasonable efforts to meet estimated dates and will keep the Client informed of material changes.
However, manufacturing, international freight, customs clearance, port congestion, weather events and other matters outside our reasonable control may affect delivery times.
Time shall not be considered of the essence unless expressly agreed in writing.

Quality control
Where appropriate, Found East Studio may arrange or undertake quality-control checks before products leave the manufacturer.
These checks are intended to identify visible manufacturing issues and confirm general conformity with the approved specification.
Quality control does not replace the Client’s obligation to inspect products following delivery and does not guarantee that damage cannot occur during transportation, installation or subsequent handling.

Delivery and logistics
Where included in the quotation, Found East Studio will coordinate delivery to the address supplied by the Client.
Delivery arrangements may include international freight, customs clearance, onward transportation and door-to-door delivery.
The precise scope of delivery will be stated in the quotation.
The Client must ensure that:
-
the delivery address is correct;
-
access is suitable for the size and weight of the goods;
-
any necessary parking, permits or building permissions have been arranged;
-
appropriate personnel are available to receive the goods; and
-
the site is ready for delivery.
Additional charges caused by restricted access, failed delivery, storage, redelivery or circumstances outside Found East Studio’s control may be charged to the Client.
Unless specifically included, delivery does not include installation, assembly, electrical connection or removal of packaging.

Inspection on delivery
The Client must inspect all goods as soon as reasonably possible following delivery.
Any visible damage, shortage or obvious defect should be reported to Found East Studio within 48 hours of delivery, accompanied by photographs and details of the issue.
Where possible, visible damage to external packaging should also be recorded with the carrier at the time of delivery.
Failure to notify Found East Studio promptly may affect our ability to pursue a claim with the manufacturer, freight provider or insurer.
This clause does not limit any statutory rights that cannot legally be excluded.

Returns and cancellations
Because many of our products are made to order, sourced specifically for a project or customised to the Client’s requirements, returns are not accepted for change of mind once the 48-hour amendment period has expired.
Products may only be returned with prior written authorisation from Found East Studio.
Where Found East Studio agrees to accept a return of a standard, non-bespoke product, the Client may be responsible for return freight, handling, restocking or other associated costs.
Bespoke, customised or made-to-order products cannot normally be returned unless defective.

Defects, replacements and warranties
If a product has a genuine manufacturing defect, Found East Studio will work with the relevant manufacturer to determine an appropriate remedy.
Depending on the circumstances, this may include:
-
repair;
-
replacement component;
-
replacement product; or
-
another reasonable remedy agreed with the manufacturer.
The applicable warranty period may vary between manufacturers and product categories and will be advised where relevant.
Warranties generally do not cover damage caused by:
-
incorrect installation;
-
misuse or neglect;
-
improper maintenance;
-
unauthorised modification;
-
incorrect electrical supply;
-
normal wear and tear;
-
natural ageing or patination;
-
damage after delivery; or
-
failure to follow installation or care instructions.
Found East Studio may request photographs, videos, installation information or return of the affected product before a warranty claim can be assessed.

Installation
Unless expressly stated in writing, Found East Studio does not provide installation services.
Lighting products must be installed by appropriately qualified professionals and in accordance with applicable regulations and manufacturer instructions.
Furniture requiring professional installation or fixing should likewise be installed by competent persons.
Found East is not responsible for loss or damage caused by incorrect installation or site works undertaken by third parties.

Product imagery and descriptions
Product photography, drawings, renders, samples and descriptions are provided to give the best reasonable representation of the product.
Colours and finishes may appear differently depending on photography, lighting conditions, screens and natural material variation.
Dimensions may be subject to reasonable manufacturing tolerances.
Where exact dimensions or finishes are critical, the Client should confirm them in writing before ordering.

Intellectual property
All drawings, documents, quotations, presentations, photographs, website content, branding and other materials produced by Found East Studio remain the intellectual property of Found East Studio or their respective rights holders unless expressly agreed otherwise.
They may not be reproduced, distributed or used commercially without permission.
Designs belonging to our manufacturing partners remain the intellectual property of the relevant manufacturer or designer.
Ownership and risk

Unless otherwise agreed in writing, legal title to goods remains with Found East Studio until all sums due in relation to those goods have been paid in full.
Risk in the goods passes to the Client upon delivery to the agreed delivery address, unless otherwise specified in the quotation or applicable shipping terms.
Liability

Found East Studio will exercise reasonable care and skill in providing its services.
However, to the fullest extent permitted by law, Found East Studio shall not be liable for indirect or consequential losses including loss of profit, business interruption, loss of opportunity or project delay arising from circumstances outside our reasonable control.
Found East Studio will not be responsible for errors arising from incorrect information, dimensions, specifications or instructions provided by the Client or other project professionals.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
Force Majeure

Found East Studio will not be responsible for failure or delay caused by events beyond our reasonable control.
These may include, but are not limited to, natural disasters, extreme weather, fire, epidemic or pandemic, industrial action, war, civil unrest, government action, changes in import/export restrictions, shipping disruption, customs delays, port closures, shortages of materials or transport, or failures by third-party carriers.
Where such circumstances arise, we will make reasonable efforts to minimise disruption and keep the Client informed.
Data protection

Found East Studio processes personal information in accordance with applicable UK data protection law and its Privacy Policy.
Information may be shared with manufacturers, logistics providers, professional advisers and other service providers where necessary to provide our services.
Where information is transferred internationally, Found East Studio will take reasonable steps to ensure appropriate safeguards are in place where required by law.
Trade clients and consumer rights

Found East Studio is primarily a business-to-business supplier working with architects, interior designers, lighting designers and other design professionals.
Where a Client is acting as a consumer rather than in the course of business, applicable consumer legislation may provide additional rights.
Nothing in these Terms is intended to exclude or restrict statutory consumer rights where doing so would be unlawful
Changes to these Terms

Found East Studio may update these Terms from time to time.
The Terms applicable to a particular order will normally be those provided or published at the time that order is confirmed.
Governing law

These Terms and any dispute arising from them are governed by the laws of England and Wales.
The courts of England and Wales shall have jurisdiction, subject to any mandatory legal rights that apply.
